Terms of Service

These Terms explain what you can expect from Verbiform, what we expect from you, and how subscriptions, recordings, documents, sharing, and signatures work. They are a binding agreement between you and GLE Ventures LLC, doing business as Verbiform (“Verbiform”, “we”, “us”, or “our”). Please also read our Privacy Policy and Refund & Cancellation Policy, which are part of these Terms.

The short version

You keep ownership of what you create. Use the service lawfully, review generated documents before relying on them, get permission before recording people, and pay for any plan you choose. The detailed Terms below control if this summary and the legal text ever differ.

1. Agreement and eligibility

These Terms of Service are a binding agreement between you and GLE Ventures LLC, doing business as Verbiform (“Verbiform”, “we”, “us”, or “our”). They apply when you access or use our websites, applications, document tools, templates, sharing features, and related services (together, the “Service”).

You must be at least 18 years old and legally able to enter into this agreement. If you use Verbiform for a company or other organization, you represent that you have authority to bind it. In that case, “you” includes that organization.

By creating an account, starting a paid plan, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service and your plan

Verbiform helps you record or enter information, place it into a selected or custom template, review the resulting document, and then save, download, print, email, share, or request a signature where those features are available.

Your available features, storage, usage limits, branding options, and workspace seats depend on your current plan and the terms shown on the pricing or checkout page when you subscribe. We may improve or revise plan features over time under Section 15, but we will not charge you a new amount without the notice and authorization required by law.

3. Accounts, workspaces, and administrators

Provide accurate account information, keep your credentials secure, and promptly tell us about suspected unauthorized access. You are responsible for activity performed through your account unless applicable law says otherwise.

If you join a team workspace, its owner or administrators may manage membership, roles, shared templates, and workspace records. An administrator must have authority to invite members and manage content for the organization. Members must use only the permissions they are given. Removing a member ends that member’s workspace access but does not retrieve copies that were already lawfully downloaded or sent.

4. Your content stays yours

You retain ownership of recordings, text, photos, files, templates, imported PDFs, completed documents, signatures, contact details, and other material you submit to or create with the Service (“Your Content”).

You give Verbiform a limited, non-exclusive license to host, copy, transmit, format, analyze, and otherwise process Your Content only as reasonably needed to:

  • Provide, secure, maintain, and improve the Service;
  • Comply with your settings and instructions;
  • Prevent fraud, abuse, and security incidents; and
  • Meet our legal obligations.

This license ends when the content is deleted from our active systems, subject to our documented backup cycle and legal retention duties.

You are responsible for Your Content and confirm that you have the rights and permissions needed to upload, process, share, and use it. Our handling of personal information is described in the Privacy Policy.

5. Templates, custom forms, and imported documents

Verbiform grants you a non-exclusive, non-transferable right to use its ready-made templates to create and use documents for your own personal or business purposes while you have access to the Service. You may edit generated output and share completed documents with the people involved in your work.

You may not resell, sublicense, publish, or distribute Verbiform’s blank templates as a competing template library or standalone product. Your completed documents and the information you add remain Your Content.

When you upload a custom template or imported PDF, you confirm that you have permission to use and modify it. Verbiform may preserve the visual structure of an imported document, but you are responsible for checking field placement, wording, calculations, and the final output before use.

6. Verbiform’s platform and brand

We and our licensors own the Service, including its software, design, systems, documentation, template library, trademarks, and other platform materials, excluding Your Content. These Terms give you only the limited right to use the Service as described here and do not transfer ownership of our intellectual property.

If you send us ideas or feedback, you allow us to use them without restriction or payment, but you are not required to provide feedback.

7. Recordings, notices, and consent

You are responsible for deciding when recording is appropriate and lawful. Before recording any conversation, meeting, visit, customer, employee, patient, or other person, you must provide every notice and obtain every consent required by the laws where you and the other participants are located.

Do not use Verbiform to record someone where recording is prohibited, to capture private information you are not authorized to collect, or to conceal a recording in violation of law or workplace policy. The Service allowing a recording does not mean the recording is legal.

Important: Recording laws vary by location and context. If you are unsure, do not record until you have confirmed the applicable rules.

8. Transcription, automation, and your review

Verbiform uses automated systems to transcribe speech, identify details, suggest field values, and draft documents. Automated output can be incomplete, inaccurate, misplaced, or inappropriate for your situation. A confidence indicator, warning, or source reference is helpful context—not a guarantee.

You must review the entire document before relying on it, signing it, sending it, or adding it to an official record. You remain responsible for names, dates, prices, measurements, diagnoses, instructions, calculations, required fields, legal language, and every other material detail.

Verbiform is a documentation tool, not a substitute for professional judgment. It does not provide medical, legal, financial, engineering, safety, or other professional advice. The Service is not represented as HIPAA-compliant and must not be used to store or process protected health information unless we separately agree in writing that the required safeguards and agreements are in place.

9. Links, portals, delivery, and copies

When you email a document, create a customer link, invite a workspace member, or otherwise share content, you authorize Verbiform to deliver that content and related service messages to the people you select. Check recipients and permissions before sending. Anyone with an active link may be able to view or act on the associated document, so protect links as you would other business records.

You are responsible for keeping any copies required by your business, customer, insurer, regulator, or professional rules. We do not guarantee that a recipient will open, accept, sign, or retain a document, and we cannot retrieve copies that a recipient has already downloaded or forwarded.

10. Electronic signatures and approvals

Verbiform may let a person sign, approve, or acknowledge a document electronically. By using those features, you agree to conduct that transaction electronically and represent that each signer is authorized to act. You are responsible for giving recipients any required disclosures and for choosing a signature method appropriate to the document and your industry.

Verbiform is not a notary, certificate authority, identity-verification service, or law firm. We do not guarantee that a signature will satisfy every law, agency rule, contract, or evidentiary standard. Some records require special procedures or cannot be handled electronically. Obtain professional advice when the legal effect of a signature matters.

11. Acceptable use

Do not use the Service to:

  • Break the law or help anyone else do so;
  • Violate another person’s rights;
  • Expose confidential information without permission;
  • Impersonate someone;
  • Misrepresent a document, approval, or signature;
  • Distribute malware or harmful code;
  • Bypass security controls or usage limits;
  • Interfere with the Service; or
  • Help anyone perform any prohibited activity.

You may not scrape or systematically copy the Service, probe it for vulnerabilities without our written authorization, reverse engineer it except where law expressly permits, use automated means that unreasonably burden our systems, or use Verbiform materials to build or train a competing product or template library.

We may investigate suspected misuse and may remove content or restrict access when reasonably necessary to protect users, third parties, or the Service; comply with law; or enforce these Terms.

12. Privacy, security, and third-party services

Our Privacy Policy explains what information we collect, when data stays on your device, when you choose to sync or process it online, which service providers support those operations, and how deletion and retention work.

The Service may rely on third-party hosting, payment, email, transcription, artificial-intelligence, and infrastructure providers. Their availability can affect the Service. Third-party sites or services you choose to use may have their own terms and privacy practices, and Verbiform is not responsible for them.

We use reasonable administrative, technical, and organizational safeguards, but no system is perfectly secure. You must use reasonable security practices, including strong credentials, trusted devices, appropriate workspace permissions, and secure handling of downloaded or emailed documents.

13. Subscriptions, renewals, and taxes

Paid plans are billed in advance on the monthly or annual schedule shown at checkout. Before you subscribe, we will show the plan, price, billing frequency, material limits, and that the subscription renews automatically until cancelled. By confirming a paid plan, you authorize our payment processor to charge the payment method on file, including applicable taxes, at each renewal.

Team plans may be priced by seat. Adding or removing seats may change the amount due as shown before confirmation. If payment fails, we may retry the charge, ask you to update your payment method, limit paid features, or suspend the plan after reasonable notice.

We may change prices for future billing periods. We will give advance notice of a material increase when required, and you may cancel before the new price takes effect. Unless we say otherwise, taxes and third-party data or carrier charges are your responsibility.

14. Cancellation and refunds

You may cancel a paid plan at any time through the billing portal or another cancellation method we make available. Cancellation stops future renewals. Unless a refund applies, paid access continues through the end of the current billing period.

You may request a refund by contacting support@verbiform.com within 14 days of a charge. After that window, charges are generally non-refundable, but we may make reasonable exceptions for duplicate charges or a technical problem that prevented meaningful use. We do not limit any refund, cancellation, or consumer right that cannot lawfully be waived.

Deleting your account also cancels an active subscription, but you should keep the confirmation for your records. Additional details appear in the Refund Policy.

15. Availability, changes, and beta features

We work to keep Verbiform reliable, but the Service may sometimes be unavailable because of maintenance, updates, outages, third-party failures, security events, or circumstances outside our control. Offline features may continue to work, but syncing, cloud processing, email, billing, portals, and other online features require connectivity and available providers.

We may add, modify, or remove features to improve the Service, address security or legal requirements, or reflect how the product is used. If a change materially reduces a paid plan during its current term, we will provide reasonable notice or a reasonable remedy where required by law.

Features labeled beta, preview, experimental, or early access may change or stop without notice and may be less reliable. Do not rely on them for critical records without keeping an independent copy.

16. Suspension, termination, and your data

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, create a security or legal risk, or use the Service in a way that could harm others. When practical, we will give notice and an opportunity to correct the issue, but we may act immediately when reasonably necessary.

Before closing your account, export any records you need. After closure, local data may remain on devices you control until you delete it. Synced account data is deleted or de-identified according to the Privacy Policy, subject to backup rotation, fraud prevention, dispute resolution, and legal retention requirements.

Sections that by their nature should continue—including ownership, payment obligations, disclaimers, liability limits, indemnity, disputes, and general terms—survive termination.

17. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Verbiform disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or completely secure;
  • The Service will be suitable for every legal, professional, or regulatory purpose;
  • Every transcription or generated field will be accurate; or
  • A recipient will accept a document, approval, or signature.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

18. Limitation of liability

To the fullest extent permitted by law, neither Verbiform nor its owners, employees, affiliates, or service providers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption, arising from or related to the Service—even if advised that such harm was possible.

Our total liability for all claims arising from or related to the Service will not exceed the greater of US$100 or the amount you paid Verbiform for the Service during the 12 months before the event giving rise to the claim.

These limits do not apply where prohibited by law, and they do not limit liability that cannot legally be limited. The allocation of risk in this section is an essential part of the agreement.

19. Indemnity

To the extent permitted by law, if you use Verbiform for a business or organization, you will defend and indemnify GLE Ventures LLC and its affiliates, owners, officers, employees, and agents from third-party claims, losses, and reasonable legal costs arising from Your Content, your unlawful recording or sharing, your misuse of the Service, or your material breach of these Terms.

We will promptly notify you of a covered claim and reasonably cooperate in the defense. You may not settle a claim in a way that admits fault by us or imposes obligations on us without our written consent.

20. Governing law and disputes

Texas law governs these Terms and any dispute related to the Service, without regard to conflict-of-law rules. Before filing a claim, you and Verbiform agree to try in good faith for 30 days to resolve it informally after written notice, unless immediate court relief is reasonably necessary.

Any lawsuit must be brought in the state or federal courts located in the Texas county where GLE Ventures LLC has its principal place of business, and each party consents to personal jurisdiction there. Nothing in these Terms prevents either party from seeking relief in small-claims court when eligible or limits a consumer protection that cannot be waived.

21. General terms

These Terms, the Privacy Policy, the Refund Policy, and any order or plan terms presented to you form the entire agreement about the Service and replace prior agreements on the same subject. If an order conflicts with these Terms, the order controls only for that purchase.

If one provision is unenforceable, the rest remain in effect. A failure to enforce a provision is not a waiver. You may not assign this agreement without our written consent; we may assign it as part of a merger, acquisition, reorganization, or transfer of the Service. Neither party is responsible for delay caused by events beyond its reasonable control.

Notices to you may be delivered through the Service or to the email address associated with your account. Legal notices to Verbiform must be sent to support@verbiform.com with the subject “Legal Notice,” unless we publish another notice address.

22. Changes to these Terms

We may update these Terms as the Service changes. If an update materially affects your rights or obligations, we will provide reasonable advance notice through the Service, by email, or on this page. The notice will state when the updated Terms take effect.

Your continued use after that date means you accept the revised Terms. If you do not agree, you must stop using the Service and cancel any subscription before the change takes effect.
